**De organisatie**:
Per 2017 is deze groep actief in de Nederlandse markt. Dit groep is marktleider in Scandinavië op het gebied van financieel advies in de breedste zin van het woord (vermogensbeheer, verzekeringen, pensioenen) en investeert veel in een gedeeld hoogwaardig platform voor haar deelnemingen (oa. Fintech-achtige oplossingen). In Nederland is inmiddels een top 3-positie bereikt. Sinds 2021 is er een lokaal NL team actief dat nauw samenwerkt met het team uit Stockholm. In samenwerking met het team in Stockholm ondersteunt het nederlandse team tevens de buy & build in andere landen (oa. Spanje, UK en elders in Europa).

De groep is volop in ontwikkeling. Er worden continu nieuwe initiatieven en samenwerkingen opgetuigd (o.a. voor niche producten, gezamenlijke back-office platforms, etc.), zowel in joint ventures als in de vorm van lange termijn samenwerkingen op een contract
- of licentiebasis.

Jaarlijks worden er nog altijd 25 tot 40 transacties gedaan binnen de Nederlandse groep, variërend van klantenportefeuilles (add-ons / bolt-ons) tot platform-acquisities, en van participaties (zowel minderheid
- als meerderheidsbelangen) tot 100% acquisities.

De holding in Zweden heeft o.a. backing van twee zeer vooraanstaande private equity partijen en goede lijnen voor (externe) schuldfinanciering, maar ook zijn de originele founders nog steeds actief betrokken. Het totale M&A team binnen de groep bestaat uit 12 M&A professionals (zowel met een finance als juridische achtergrond), waarvan er 3 M&A professionals in Nederland actief zijn.

Op dit moment zijn er ongeveer 35 participaties in Nederland met elk een eigen directie/MT. De (geconsolideerd) jaaromzet in Nederland is +/- 250 miljoen euro en is volop aan het groeien.

**De positie**:
De M&A Associate zal een belangrijke rol vervullen bij de verdere groei van dit (internationale) Buy & Build platform.

Als M&A Associate ben je verantwoordelijk voor het succesvol begeleiden van de nieuwe transacties. Je zal dan ook het hele M&A proces begeleiden; van het doen van een eerste voorstel tot het coördineren van de afsluiting. Leads komen veelal uit het netwerk van de directie in Nederland, de partners/participaties en van adviseurs die zich op deze specifieke segmenten richten.

Daarnaast zal je een actieve rol kunnen spelen in het verder ontwikkelen van de bestaande participaties en optreden als sparringpartner en strategisch adviseur voor deze (lokale) directies/ondernemers, waarbij je zorgvuldig de belangen van zowel de groep als die van de lokale directie/ondernemer in overweging neemt.

Ten slotte zal je betrokken zijn bij financieringsvraagstukken, managementparticipaties en mogelijke herstructureringen binnen de groep.

Je komt in een hecht en professioneel M&A team te werken met de standplaats in Hilversum. Naast het M&A NL team, is ook het Legal en Compliance team in Hilversum gestationeerd. Het M&A team (Zweden / Nederland / Spanje) komt ten minste twee keer bij elkaar (meestal in Stockholm) om onderling te overleggen.
- Taken en verantwoordelijkheden_
- Van A - Z betrokken zijn bij de deals en ervaring opdoen met alle facetten van het gehele investeringsproces;
- Doorgronden van Informatie Memoranda (IMs) en het opstellen en structureren van biedingen en het begeleiden van Due Diligence-processen. Afhankelijk van ervaring coördineer je ook de transactiedocumentatie (samen met ervaren external counsels) en ben je in de lead bij onderhandelingen;
- Het fungeren als sparringpartners en strategisch adviseur voor de bestaande directies van de participaties;
- Het uitwerken van financieringsvraagstukken, managementparticipaties en mogelijke herstructureringen binnen de groep;
- Het verder opbouwen/onderhouden van relaties met ondernemers, corporate finance boutiques, accountantskantoren, advocatenkantoren etc.;
- Het verzamelen van data ten behoeve van sectoranalyses, beoordeelt nieuwe investeringsproposities en JVs / strategische partnerships.

**Gewenst kandidaat profiel**:

- Een afgeronde academische opleiding, bij voorkeur in een financiële / economische studierichting;
- Je hebt 4-6 jaar werkervaring waarvan 3+ in M&A (Private Equity, Venture Capital, M&A advies, Transaction Services, etc. of als M&A associate/manager bij een ander buy & build platform);
- Je bent in staat MKB ondernemers te overtuigen en mee te nemen;
- Hands-on, no-nonsense en praktische mentaliteit;
- Internationale ervaring (tijdens studie of werk) is een pre;
- Sterke analytische en numerieke vaardigheden;
- Begrip van verschillende waarderingsmodellen;
- To-the-point presenteren en samenvatten van business cases;
- Je hebt uitstekende Excel en Powerpoint vaardigheden;
- Zelfstartend en ondernemend;
- Analytisch denkvermogen, in staat om zelfstandig conclusies te trekken;
- In staat om duidelijk te communiceren, en gestructureerd in je werk maar creatief in je denken;
- Je hebt uitstekende communicatieve vaardigheden in het Nederlands en Engels.
