The role:

This role is responsible for defining, developing, implementing and executing the risk management and compliance strategy of TMF Escrow Services. This includes, inter alia, defining the TMF Escrow Services risk appetite, implementing and executing the integrity risk analysis and policy, stimulate risk awareness and co-ordinating risk reporting and risk management, compliance and regulatory related activities and initiatives including client acceptance and transaction monitoring.

The role holder builds and maintains strong relationships with internal and external Legal professionals, regulatory authorities and other stakeholders.

This role includes responsibility for the regulatory compliance of the TMF Escrow Services and is a pre-approved controlled function.

He/she acts as member of the board of TMF Escrow Services and in such capacity is co-responsible for defining the strategy and business planning of TMF Escrow Services operation, monitoring onboarding and execution processes to ensure that TMF Escrow Services provides excellent services to clients, develops and engages employees, maintains good lines of communication with regulatory authorities and other stakeholders.

Respnsibilities:

  • Act as the appointed Compliance Officer for the PSD2 licensed entity NL Escrow services
  • Regulatory contact person with the DNB
  • Maintaining an effective compliance framework such that all Escrow activities are operated in a compliant manner.
  • Defining the TMF Escrow Services risk appetite, implementing and executing the (systematic) integrity risk analysis and policy
  • Carrying out the role of the permanent compliance function for Escrow Services.
  • Carrying out a compliance risk assessment to enable a risk-based approach to the scope of the monitoring programme and the establishment of priorities to ensure that compliance is comprehensively monitored.
  • Maintaining adequate policies & procedures to ensure compliance with TMF's legal & regulatory obligations.
  • Addressing communication and guidance from the Central Bank of the Netherland (DNB) in respect of compliance and regulatory matters.
  • Ensuring all regulatory and legal filings are made on time including to the Dutch Central Bank DNB and other competent authorities.
  • Interacting with the Central Bank in relation to regulatory matters, inspections and issues arising.
  • Consideration of regulatory changes and their impact on Escrow Services and its clients, together with implementation of required actions.
  • Conducting and overseeing internal reviews periodically to ensure that compliance procedures are followed.
  • Ensuring business is carried out to the highest standards of best practice and governance standards, in particular with respect to the delivery and evidencing of controls and processes across all management functions.
  • Identifying areas of improvement in processes and documentation.
  • Ensure the maintenance of the robust compliance framework with related policies to meet the local regulatory requirements, and introducing new policies as required.
  • Driving improvements in compliance awareness through the evaluation of needs, and delivering a training and development program, with input from compliance monitoring program, and internal or external audits.
  • Delivering an annual compliance business plan to the Escrow Board.
  • Provide support to the Global Head of Escrow on, Risk, Compliance and Legal as appropriate.

Key Business Expertise:

  • At least 3 years' experience at a senior level (10 years'+ total experience) in a relevant Escrow related, compliance, legal, audit, controls or regulatory role.
  • Experience of working in a highly regulated environment.

Candidate Profile:

  • The successful candidate should have a master in compliance, business, finance or law.
  • The ability to translate regulations and Central Bank guidance into practical procedures.
  • Strong organisational skills with excellent attention to detail.
  • The ability to co-ordinate inputs from a large number of diverse sources and form strong working relationships across multi-disciplinary teams.
  • The ability to identify and prioritise areas of importance using a risk-based approach.
  • Good interpersonal skills and the ability to communicate effectively with key stakeholders.
  • The ability to deliver outputs to specific timescales.
  • Proactivity and high levels of personal initiative.
  • High awareness of the need to seek best solutions within a highly regulated context.
  • Highest professional and ethical standards are expected.
