**The Position**
**Responsibilities**:
- Legal Team Leadership and Development: Lead and work substantively with a team of five legal professionals, (including one senior legal counsel, three legal counsel and one paralegal), dedicated to support Pharming’s operations as a pharmaceutical company across the EU and the rest of the world (excluding US).
- Foster a collaborative and forward-thinking environment within the legal department, driving continuous efficiency in legal processes.
- Corporate law advice and support: providing adequate legal support to the Executive Committee, and other members of senior management, on all aspects of Dutch corporate, securities and contract law, amongst others in the context of financing transactions, equity-related activities, M&A, and (other) business development projects.
- Business Partnering: Actively collaborate and partner with the leadership team and (senior) business management in achieving operational goals, by offering clear, practical legal advice while ensuring adequate oversight and management of all emerging legal risks
- Corporate Secretary and Governance duties: Serve as the Corporate Secretary for the one-tier board and Executive Committee meetings, monitoring the effective functioning of the governance framework of Pharming, as dual listed company, and being a trusted advisor for governance and related corporate law inquiries.
- Collaborate with the team for the smooth execution of all operational governance activities (including meeting planning, minute-taking etc), monitoring the overall effectiveness and quality.
- Governance Structure & Frameworks: Develop and implement governance frameworks and structures for the effective management of group entities, and ensure that legal standards and corporate governance structures are fully compliant across the organization.
**Your Profile**:
- A university degree in Law and > 10 years of legal experience within the pharmaceutical or healthcare industry.
- In-depth understanding of the legal and regulatory framework affecting the pharmaceutical/healthcare industry
- Solid experience with Dutch Corporate law and Corporate Governance at a listed company.
- Experience leading and inspiring a legal team with a hands-on and collaborative management style.
- Strong business acumen, ability to act as a business partner to senior management.
- Proven ability to manage legal risks in a dynamic, regulated environment.
- Fluent in English; Dutch proficiency is a plus.
