Corporate Lawyer

We are seeking a highly skilled and experienced Corporate Lawyer to join our team at Lexius Search. As a key member of our international client service team, you will be responsible for providing high-quality legal services to our clients.
Key Responsibilities- Maintain the day-to-day affairs of a portfolio of client companies, ensuring compliance with all relevant laws and regulations.
- Draft and review standard legal documents, including proxies, board and shareholders' resolutions, minutes of meetings, and various agreements.
- Handle the appointment and resignation of managing and supervisory directors, ensuring seamless transitions and minimal disruption to clients.
- Coordinate incorporations, share transfers, and liquidations of client companies, ensuring all necessary documentation is completed accurately and efficiently.
- Review legal documents drafted by third parties, ensuring they meet our high standards of quality and compliance.
- Maintain and review compliance files, ensuring all necessary records are up-to-date and easily accessible.
- Work closely with external accountants, tax advisors, and notaries to ensure all transactions are properly documented and compliant with relevant laws and regulations.
- Convene and attend client board meetings, preparing minutes and ensuring all necessary actions are taken.
- Attend meetings with clients and advisors, providing expert guidance and support as needed.
To be successful in this role, you will need:
- At least 2 years' experience operating in a legal account management function, with a fiduciary services company in the Netherlands.
- Excellent communication skills, with the ability to effectively communicate with all levels of the business.
- A Master's degree in Dutch corporate and/or tax law, with a thorough understanding of Dutch corporate law.
- Fluent English language skills, with Dutch language skills a bonus.
