Eurus Energy Group develops, invests in and operates renewable energy projects globally. Starting from its first project in California in 1987, Eurus now has over 3.2 GW of wind and solar power generation worldwide. Amsterdam-based Eurus Energy Europe B.V. („EEE“) develops renewable energy projects, including onshore wind, photovoltaic, green hydrogen and batter energy storage projects in Europe and Africa. EEE is a wholly owned subsidiary of Eurus Energy Holdings Corporation, which is on its turn wholly owned by Toyota Tsusho Corporation.

Role Summary:

The General Counsel at EEE will oversee all legal aspects of the company, including its projects and corporate operations, and will lead the European legal team. This role involves providing strategic legal leadership, ensuring compliance with legal standards, and managing legal risks. The ideal candidate will have proven experience as senior-most attorney and in the field project finance, be commercially-minded, entrepreneurial, and possess a strong ability and drive to integrate legal advice with business strategy.

Key Responsibilities:

1. Overall Legal Management: Manage and bear end responsibility for all legal matters, including all of our projects and partnerships, negotiation of contracts and compliance matters and performed by in-house or external counsel.
2. Project and Contract Leadership: Lead legal aspects of project development and contract management, ensuring alignment with Eurus Energy’s business objectives and legal compliance. Lead and advice on the structuring, negotiating, management and documentation of a variety of renewable energy project transactions, including development of joint ventures, project financings and acquisitions and sales of development and operating assets.
3. Legal Team Leadership and Development: Manage and continue developing the legal team, fostering a culture of high performance, proactivity and continuous improvement.
4. External Legal Relationships: Oversee and maintain relationships with external counsel and other relevant stakeholders, ensuring effective legal support and alignment with EEE’s objectives.
5. Dispute Resolution and Risk Management: Manage legal disputes and litigations, advising on risk mitigation strategies and legal solutions.
6. Corporate Governance and Compliance: Implement and oversee corporate governance and compliance policies and procedures, ensuring EEE operates within legal and ethical boundaries.
7. Participation in and advising management: Actively participate in management at department level and giving advice to senior management, contributing to the overall strategic direction and leadership of the company.
8. Mid-term Business Plan and Legal Strategies: Prepare and implement mid-term business plans and strategies for the legal department, ensuring they align with Eurus Energy’s corporate objectives and strategy.
9. Communication and alignment with HQ: Liaising with the general manager of legal department at the parent company in Tokyo.
10. Process Review and Improvement: Continuously review and ensure adherence to internal processes, maintaining the legal team’s relevance and added value within the organization.

Qualifications:

* Master’s degree in law is required.
* 12+ years of experience in commercial, corporate and financial law, with proven experience in project finance required.
* Experience in both a private practice environment (international law firm for at least 3-4 years) and in-house as senior-most attorney.
* Experience with SPA, SHA, EPC and PPA contracts is preferred.
* Demonstrated leadership in a management team and a proven track record of advising senior leadership.
* Demonstrated ability to work in a diverse cultural and international environment
* Strong organizational and problem-solving skills, with the ability to handle a heavy workload.
* Excellent communication skills, both written and oral, in English. Proficiency in other European languages, including Dutch, is a plus.
* Diplomatic with persuasive and influential capabilities.
* Open mindset and entrepreneurial / can-do attitude
* Proficient in standard computer skills and affinity with IT. Affinity with AI is a plus.
