**General Counsel & Global Head of Legal**
At DLL, we are seeking a General Counsel & Global Head of Legal to lead and further develop the global legal function & teams within DLL Group. It is DLL Legal’s mission to add value to DLL’s business on a global scale by delivering high quality and efficient legal advice, and protecting it from legal, regulatory and reputational risks, by way of clear and connected processes across the organization, while continuously improving and optimizing its service delivery. DLL Legal does this by driving the legal context and contract negotiations and thus constitute a differentiating factor in our vendor relationships and M&A processes, whilst ensuring compliance with the requirements of the various regulatory bodies governing our area of financial services. The General Counsel & Global Head of Legal advises the Executive Board and leadership on governance, regulatory requirements, contracting, insurance, ESG, procurement, M&A, and claims & litigation.

As a member of various DLL Committees, including Global Audit, Global Risk, Global Credit, Product Approval and Regulatory Oversight Committee, this is a highly visible and strategic role within the organization. This role is part of the senior leadership group of DLL.

There is strong connection globally between the group Legal team and the Regional Heads of Legal that come together in the Global Legal Management Team headed by the General Counsel & Global Head of Legal.

**Day to day**:

- Contribute to the development and implementation of the strategic direction of DLL through the execution of the Annual Legal Plan as part of the CRO Group strategy.
- Pro-actively advise the CRO and Executive Board (EB) on strategic matters, relevant legal and regulatory developments
- Provide legal and regulatory advice and guidance to the DLL Group functions, the Global Business Units and the Regional and Country organizations
- Actively and continuously liaise with Rabobank Legal to ensure strategies are aligned, relevant developments, regulatory interactions and dependencies are managed group wide.
- Optimize the corporate and regulatory structure of the DLL Legal entities worldwide
- Advise on new EU (and global) Sustainability related regulations and co-ordinate with Country Chief Legal Officers to monitor country sustainability regulations (including reporting and tracking) as they relate and impact transactional matters and accelerate transactional expertise
- Manage stakeholders and maintain regular contact with regulator, shareholder, and external auditors
- Advising on adequate and timely regulatory approvals in respect of transactions and appointments that require such approval
- Maintain overview and ensure appropriate (financial services) licenses are in place in respect of business requirements, including the management of such licenses and related reporting
- Ensure adequate reporting to the shareholder in respect of legal claims, legal entities, and intra-group guarantees
- Maintain and lead the integrated network of legal professionals positioned strategically within DLL’s global footprint
- Manage and supervise material legal matters, including projects and litigation
- Educate and train management and stakeholders about legal principles and corporate governance
- Maintain a consistent overview of legal Corporate Governance matters and of all DLL entities worldwide

**Essentials**:

- A master’s degree in Dutch or European law
- Equivalent of 15+ years’ experience at a law firm or in-house, or a combination of both, at least 10 years in a legal management role
- Broad experience in international business transactions and co-operation agreements, mergers & acquisitions, regulatory laws including basic knowledge of the Dutch Financial Act (Wft), competition law, international corporate law.
- Demonstrated experience with high levels of complexity and dealing with complex agreements and cases in a highly regulated international (finance) business environment, managing multi-jurisdictional and multi-cultural stakeholders, while leading and deploying the appropriate capabilities out of a multi-jurisdictional network of in-house lawyers; taking into account DLL’s presence in 30+ countries and DLL’s group of companies consisting of approximately 100 legal entities
