About the Role

We are seeking an experienced and highly skilled professional to head and build our Legal & Compliance department.

Nearfield Instruments is a fast-growing scale-up high-tech company, designing, developing, integrating, marketing, and servicing advanced metrology machines. Our machines enable our customers - the world's leading chipmakers - to increase production yields and functionality, resulting in smaller, more powerful consumer electronics.

As the Global Head of Legal and Compliance, you will play a key leadership role, responsible for overseeing the legal and compliance functions, critical to supporting our business growth.

Key Responsibilities:

  • Legal Compliance: Monitor and ensure compliance with local, European Union, and international laws, including ITAR, EAR, Dual Use, and other international trade regulations.
  • Risk Management: Provide strategic advice on legal risks and business impacts of commercial contracts and framework agreements with suppliers and distributors in multiple jurisdictions.
  • CORPORATE GOVERNANCE: Advise senior management on corporate law matters, including corporate structures, governance, and global compliance best practices.
  • Strategic Development: Develop and implement company policies and procedures to ensure legal and regulatory compliance across all aspects of the business.
  • Dispute Resolution: Handle legal disputes, claims, and litigation matters, including negotiations, settlements, and representation in legal proceedings.
  • Intellectual Property Protection: Manage and protect the company's intellectual property rights, including trademarks, patents, and copyrights.
  • Contract Review: Review and negotiate contracts, agreements, and legal documents, including vendor contracts, partnership agreements, employee contracts, and licensing agreements.
  • Training and Education: Conduct legal training sessions and workshops for employees to enhance legal awareness and promote a compliance culture within the organization.
  • Collaboration: Build a team of experts over time and lead engagements with external counsels.
About You

We are looking for an experienced professional with a strong background in commercial contract negotiation, drafting, and risk assessment. In-house counsel experience within the technology, manufacturing, or equipment sector is highly preferred.

Requirements:

  • Ability to oversee complex interdependencies, linking operational practice with legal contracting.
  • Strong experience in commercial contract negotiation, drafting, and risk assessment.
  • In-house counsel experience within the technology, manufacturing, or equipment sector is highly preferred.
  • Experience with and knowledge of export controls, including ITAR, EAR, and other international trade compliance regulations.
  • Demonstrated ability to advise on corporate governance, corporate finance transactions, and regulatory compliance.
  • Expertise in international employment law and HR compliance.
  • Excellent leadership, communication, and negotiation skills.
