About the Role

We are seeking a highly skilled and experienced Corporate Lawyer to join our team at Lexius Search. As a Corporate Lawyer, you will be responsible for providing legal services to our international clients, working closely with our experienced team of financial accountants and corporate lawyers.

Key Responsibilities
  • Maintain the day-to-day affairs of a portfolio of client companies, ensuring compliance with all relevant laws and regulations.
  • Draft and review standard legal documents, including proxies, board and shareholders' resolutions, minutes of meetings, and various agreements.
  • Handle the appointment and resignation of managing and supervisory directors, ensuring all necessary documentation is completed and filed.
  • Coordinate incorporations, share transfers, and liquidations of client companies, ensuring all necessary steps are taken to ensure compliance.
  • Review legal documents drafted by third parties, ensuring they meet our high standards of quality and compliance.
  • Maintain and review compliance files, ensuring all necessary documentation is up to date and compliant.
  • Work closely with external accountants, tax advisors, and notaries to ensure all necessary steps are taken to ensure compliance.
  • Monitor transactions of client companies, identifying and mitigating any potential risks or issues.
  • Convene and attend client board meetings, preparing minutes and ensuring all necessary actions are taken.
Requirements
  • Minimum 2 years of experience in a legal account management function, with a fiduciary services company in the Netherlands.
  • Strong understanding of Dutch corporate law and language.
  • Excellent communication and interpersonal skills, with the ability to work effectively with all levels of the business.
  • Ability to work under pressure, prioritizing tasks and managing time effectively.
  • Fluent English language skills, with Dutch language skills a bonus.
