**Role Overview**:
We are looking for an experienced **Legal Officer** to join our team in the Netherlands. In this role, you will be responsible for providing corporate secretarial and legal support to our clients, ensuring compliance with Dutch and international regulations. You will be working closely with local and international clients, as well as various stakeholders such as notaries, banks, and regulatory bodies.

**Key Responsibilities**:

- Build and maintain strong working relationships with clients, notaries, external advisors, banks, regulatory bodies, and other relevant parties.
- Provide comprehensive corporate secretarial support, ensuring clients meet all legal and regulatory obligations.
- Assist in setting up and managing legal structures for clients, including incorporations and share transfers, working closely with clients, notaries, law firms, and tax advisors.
- Manage changes to client entities, such as director appointments/dismissals and changes of domicile.
- Ensure compliance with the requirements of the Chamber of Commerce and other relevant registers (registration, amendments, filings, etc.).
- Organize and maintain the correspondence and company files, performing regular checks to ensure completeness and accuracy.
- Draft and review standard legal documents such as management agreements, loan agreements, minutes, resolutions, and proxies.
- Identify and escalate any legal or tax issues related to client transactions, liaising with supervisors and advisors where necessary.
- Oversee liquidations, draft liquidation agreements, and manage the formalities surrounding company closures.
- Attend and independently conduct client meetings and liaise with business partners.
- Ensure client portfolios are compliant with the Dutch Central Bank regulations and other relevant legislation.
- Maintain up-to-date client data and ensure all legal procedures comply with applicable laws.
- Monitor and manage fixed fee agreements in collaboration with the Accounting Officer and pro-actively address potential gaps with clients.
- Act as a gatekeeper for TMF Group, ensuring compliance with local and international laws to safeguard the financial system.

**Who You Are**:

- Proven experience in a legal or corporate secretarial role, preferably within a financial services or corporate environment.
- Strong understanding of Dutch corporate law and compliance regulations.
- Excellent communication skills, with the ability to build relationships with clients and external partners.
- Ability to manage multiple tasks, meet deadlines, and maintain a high level of accuracy and attention to detail.
- Proactive and solution-oriented, with a strong sense of responsibility and professionalism.
- Legal drafting skills with the ability to review and assess complex legal documentation.
