**Your role**:
As our new Deputy Corporate Secretary, you will join the Corporate Secretariat. This team consists of the Corporate Secretary and you. You will closely work together and are each other’s back up. During holidays, you will take over some of the tasks of your direct colleague. In this role you collaborate tightly with departments in our organization. For example, with the Management Board secretariat, Compliance, and Corporate Legal.
The focus of both of you is primarily on the following three areas:
- Entity of FMO (Corporate Governance, Corporate Housekeeping and Legal Advice).
- Management Board support.
- Supervisory Board support.
Let’s dive into your responsibilities as Deputy Corporate Secretary for every area mentioned above.
For the entity of FMO (Corporate Governance, Corporate Housekeeping and Legal Advice) you will:
- Assist in (legal) projects and special transactions.
- Support the periodic audits on corporate governance.
- Ensure that the company’s books and records are accurate and up to date. This includes drafting and reviewing legal documents when necessary.
- Keep the Chamber of Commerce records up to date.
- Ensure proper and timely filing.
- Execute on the Know Your Customer's requests on FMO.
- Stay updated on legal changes affecting the (development) banking sector. You will collaborate with amongst others the legal and compliance departments.
- Co-organize the Annual General Meetings of shareholders and the Extraordinary General Meetings of shareholders.
- Coordinate the (re)appointment process for Management Board members and their direct reports. You will do this in tight collaboration with the various internal and external stakeholders.
To support our Management Board you will:
- Organize, prepare, and minute Management Board meetings, with strong attention to detail. Documenting and subsequent action-taking.
- Help manage corporate governance issues. You'll ensure a balance between transparency and confidentiality in information handling. Plus, you will guarantee adherence to laws and regulations.
- Develop and organize the Life Long Learning plan of the Management Board.
- Monitor and register the outside positions and followed trainings of the Management Board members.
To support the Supervisory Board you will:
- Develop and organize the Life Long Learning plan of the Supervisory Board.
- Monitor and register the outside positions and followed trainings of the Supervisory Board members.
Holding this central role, it is essential to collaborate and communicate well with both internal and external stakeholders.
**Our offer**:
This role offers a salary between € 85 K and € 110 K gross per year (including 8% holiday allowance). This is for 40 hours working week and varies with your experience. Besides this we provide a comprehensive benefits package like:

To be successful in this role you have strong organizational and planning skills. You have a clear eye for detail. You work precisely and carefully. You easily collaborate with your colleagues and can also work independently. Your written and verbal communication skills in English - and preferably also in Dutch - are excellent.
Besides this you possess:
- Bachelor or master’s degree in (Dutch) law or relevant field.
- Proven experience (around 5 years) in a similar role, preferably in a financial institution.
- Knowledge of corporate governance principles and legal compliance.
