Nearfield Instruments, a fast-growing scale-up high-tech company, is seeking an experienced professional to lead its Legal and Compliance department.

We are looking for a seasoned legal expert with a background in the industry, commercial contract negotiation, drafting, and risk assessment. The ideal candidate will have experience working with export controls, including ITAR, EAR, and other international trade compliance regulations.

This is a key leadership role that requires strong communication and negotiation skills, as well as the ability to manage complex legal matters in a fast-paced environment.

The Global Head of Legal and Compliance will work closely with cross-functional teams to ensure compliance with local, European Union, and International laws, while fostering a culture of compliance.

Responsibilities:

  • Support the company across various legal areas, including but not limited to International trade law, contract law, labour law, commercial contracting, litigation, corporate law etc.
  • Monitor and ensure compliance with local (Netherlands), European Union, and International laws, including ITAR, EAR, Dual Use and other international trade regulations.
  • Provide strategic advice on legal risks and business impacts of commercial contracts and framework agreements with suppliers and distributors in multiple jurisdictions
  • Advise senior management on corporate law matters, including corporate structures, governance and global compliance best practices.
  • Develop and implement company policies and procedures to ensure legal and regulatory compliance across all aspects of the business.
  • Handle legal disputes, claims, and litigation matters, including negotiations, settlements, and representation in legal proceedings.
  • Manage and protect the companies intellectual property rights, including trademarks, patents, and copyrights.
  • Review and negotiate contracts, agreements, and legal documents including vendor contracts, partnership agreements, employee contracts and licensing agreements.
  • Conduct legal training sessions and workshops for employees to enhance legal awareness and promote compliance culture within the organization.

Requirements:

  • Ability to oversee complex interdependencies, linking operational practice with legal contracting. Background in the industry will help by implementing and adhering to industry standards
  • Strong experience in commercial contract negotiation, drafting, and risk assessment.
  • In-house counsel experience within the technology, manufacturing, or equipment sector is highly preferred.
  • Experience with and knowledge of export controls, including ITAR, EAR, and other international trade compliance regulations.
  • Demonstrated ability to advise on corporate governance, corporate finance transactions, and regulatory compliance.
  • Expertise in international employment law and HR compliance.
  • Excellent leadership, communication, and negotiation skills. Self-starting person with focus on content and analytical mindset, ability to oversee consequences and interconnections.
  • Ability to manage and oversee complex legal matters in a fast-paced, high-growth international environment.
  • Proven track record of managing legal and compliance programs at a scale-up or rapidly growing company.
