De Green Chemistry Campus in Bergen op Zoom is een incubator waar ondernemers, overheden en kennisinstellingen werken aan de opschaling van biobased en circulaire innovaties. De focus ligt op technologieën, bouwstenen en producten zoals pyrolyse, bio-aromaten en applicaties met superieure eigenschappen. We zoeken een ondernemende ervaren toezichthouder met kennis van de sector en gevoel voor de publiek-private uitdagingen en -verhoudingen.
De Campus biedt laboratoria, een demo facility, kantoor- en vergaderruimtes, technologische en bedrijfskundige expertise en een levendige community van gelijkgestemde ondernemers die elkaar graag verder helpen. Green Chemistry Campus draagt bij aan het behalen van de doelstellingen in het nationale Klimaatakkoord en versterkt het regionale circulaire biobased ecosysteem. Door haar economische impact versterkt de Campus de regionale bedrijvigheid en werkgelegenheid. Partners en initiatiefnemers van Green Chemistry Campus zijn de Provincie Noord-Brabant, de gemeente Bergen op Zoom, SABIC en de regionale ontwikkelingsmaatschappij NV REWIN West-Brabant. Momenteel wordt er gewerkt aan een nieuw businessplan voor de Campus en zal er een heroriëntatie plaatsvinden op het aandeelhouderschap bij de verschillende aandeelhouders.
De Directeur en Raad van Commissarissen zijn verantwoordelijk voor bestuur en toezicht. De Directeur stelt de operationele en financiële doelstellingen van de onderneming vast, definieert de strategie die nodig is voor het realiseren van die doelstellingen en benoemt de randvoorwaarden die bij de strategie gelden. De directeur opereert onder toezicht van de Raad van Commissarissen. De Raad van Commissarissen bestaat uit 3 personen. Binnen de Raad is vanwege het rooster van aftreden een vacature ontstaan voor de voorzitter van de RvC.
Profiel in algemene zin
Elke commissaris is geschikt om de hoofdlijnen van het totale beleid te beoordelen. Daarnaast beschikt hij/zij over de specifieke deskundigheid die noodzakelijk is voor de invulling van zijn/haar rol in het kader van de profielschets van de RvC. Elke commissaris is:
- in staat om te hoofdlijnen van het totale beleid te beoordelen;
- in staat om zowel ten opzichte van de andere leden van de RvC als ten opzichte van de
Directie kritisch en onafhankelijk te handelen;
- in staat om invulling te geven aan de wettelijke en statutaire taken van de RvC;
- in staat om de Directie gevraagd en ongevraagd in de uitvoering van het beleid
advies te geven en met raad terzijde te staan.
Profiel van de individuele commissaris
Bij de samenstelling van de RvC wordt zoveel mogelijk rekening gehouden met een evenwichtige verdeling van kennis en ervaring op de volgende gebieden:
- Strategie en bedrijfsvoering
- Financieel-economische zaken
- Politiek-bestuurlijke zaken
- Technologie en regelgeving
Gezamenlijk vormen de commissarissen een complementair team voor wat betreft kennis, achtergrond en ervaring en zijn daarmee in staat hun taak naar behoren te vervullen.
De huidige vacature betreft de voorzitter van de RvC die wordt voorgedragen door de aandeelhouders. We zoeken een ondernemende en ervaren toezichthouder met kennis van de sector en gevoel voor de publiek-private uitdagingen en -verhoudingen.
Meer in het bijzonder zoeken wij kandidaten met kennis en ervaring op het gebied van:
- Strategie en bedrijfsvoering
Ervaring met het managen van bedrijven; ervaring met herstructureren van bedrijven, ervaring met samenwerkingsverbanden, het aantrekken en ontwikkelen van nieuwe bedrijvigheid, business development en strategie- ontwikkeling;
- Politiek-bestuurlijke zaken
Ervaring met publieke aandeelhouders. Gevoel voor politiek bestuurlijke verhoudingen. Kennis van de inrichting en werkwijzen van overheidsorganisaties (gemeente, provincie, rijk) en daarmee gemoeide belangen en besluitvorming. Beschikken over relevante netwerken. Inzicht in functioneren van publiek- private bedrijven;
Een strategische visie, kennis en ervaring in de sector Biobased Economy en circulaire economie.
- beschikt over de kernkwaliteit 'verbindend' en weet deze in te zetten in de relatie met de Directie, medewerkers en aandeelhouders;
- aantoonbaar in staat om hoogwaardig en effectief invulling te geven aan de netwerkrol met interne en externe stakeholders;
- zich bewust zijn van de maatschappelijke rol van Green Chemistry Campus en van de belangen van interne en externe stakeholders;
- academisch niveau van denken en functioneren en inzicht in (strategische) bestuurlijke processen binnen een complexe organisatie in een complexe omgeving; bestuurlijke en toezichthoudende kwaliteiten;
- voldoende beschikbaarheid en energie om zich in te zetten voor een adequate invulling van de functie;
- ervaring als commissaris bij een onderneming is een pré;
